JFC International, Inc. Payment Portal

You should read these terms carefully because they significantly affect your legal rights, remedies and obligations.

The JFC Payment Portal (the “Portal”) is provided by JFC International (Canada) Inc. and its affiliates (“JFC”, we”, “us” or “our”). These terms and conditions (“Terms”) govern your access to and use of the Portal and by using the Portal you are fully accepting the terms, conditions, and disclaimers contained in these Terms.

1. Authority. If you are accessing and using the Portal on behalf of an entity, then you represent and warrant that you: (i) are an authorized representative or agent of that entity with the authority to bind that entity to these Terms; and (ii) agree to these Terms on that entity’s behalf. In such a circumstance, the words "you" and "your" as used in these terms will refer to and apply to both that entity and you personally.

2. Licence to You. Subject to these Terms, we grant you a limited, non-exclusive right to access and use the Portal in accordance with the Terms. We reserve all rights not expressly granted in the Terms. We may terminate this licence and your use of the Portal at any time. You will comply with these Terms when accessing and using the Portal.

3. Terms may Change. JFC may change the Terms on occasion without notice, and revised Terms are effective once posted on or accessible from the Portal.

4. Your Account. You may access your Portal account through your username and password. You must keep your username and password confidential, and you must not allow anyone else to access or use your password. You are solely responsible and liable for all activity conducted through your Portal account. You must immediately notify us if you become aware of or reasonably suspect any security breach, including any loss, theft or unauthorized disclosure or use of your password.

5. Rules. Whenever you access or use the Portal, in addition to these Terms you must comply with all applicable laws, and any other rules, policies or procedures we communicate to you from time to time. Without limiting the previous sentence, you will not:

copy, modify, decompile, disassemble, translate, create derivative works from, or reverse engineer the Portal or the Content;
use the Portal in any manner that could damage or impair the Portal or interfere with any other party's use of the Portal;
distribute, sell, lease, license, transfer or assign the Portal or any rights under these Terms in or to the Portal or the Content to any other person or entity;
attempt to disable or circumvent any features that are designed to limit your access to certain information about or features of the Portal or its other users, and not otherwise access or attempt to access any of JFC’s computer systems, programs or data that are not licensed under these Terms;
upload to or transmit through the Portal anything that may be defamatory, threatening, abusive, obscene, pornographic, harmful or invasive of anyone’s privacy, may violate any law including intellectual property, privacy or other laws, or may give rise to civil or other liability;
upload to or transmit through the Portal any data, file or software that contains a virus, Trojan horse, worm, bot keystroke logger, time bomb, cancelbot or other computer programming routines that are intended to damage, interfere with intercept, mine, scrape or expropriate any system, data or personal information relating to the Web Portal; and
not disable, disrupt or interfere with the proper operation of the Portal, or attempt to do so.

In addition to any other available remedies, JFC may suspend or terminate your access to the Portal if you breach of any of these obligations.

6. Equipment. You solely responsible for acquiring, maintaining and updating all equipment, computers, software, and communication services that are required to access and use the Portal. JFC does not guarantee that the Portal will not conflict with other programs on equipment, and JFC will not be responsible for the workings or failures of your computer equipment, network, software or Internet access.

7. Payment Processing. We use third-party payment processors to process payments through the Portal, and you must comply with the terms of all agreements between you and those providers and must deal directly with those third parties to resolve any disputes regarding the processing of your payment. We may need to share your payment details with third-party service providers, and by providing this information you specifically authorise us to share that information as described. You represent and warrant to us that each payment card you use for payment belongs to you or your authorized representative, and that you or your authorized representative has the right to charge all such payments on the credit card.

8. Security and Viruses. We have taken reasonable steps to make the Portal secure, but due to the inherent open nature of the Internet we cannot guarantee that communications between you and us or your Portal Account will be free from unauthorized access by third parties such as hackers, and your use of the Portal demonstrates your assumption of this risk. We have also taken reasonable steps to ensure that the Portal is free of computer viruses and other harmful components. Nevertheless, you should install and maintain appropriate anti-virus and other protective software on the devices from which you access and use the Portal. Without limiting any other part of these Terms, we disclaim all liability for any computer viruses or other harmful or destructive programs that you may download from the Portal.

9. Privacy. You consent to JFC collecting, using and disclosing your personal information in accordance with applicable privacy laws and its Privacy Policyfor the purpose of providing and maintaining the Portal and allowing you to access and use the Portal.

10. Proprietary Rights. The Portal, its organization and design, and all information, images, artwork, text, video, audio, pictures and other material on the Portal (collectively the “Content”) are protected by copyright and other proprietary rights, all of which we own or have the right to use. You may not copy, reproduce, republish, post, transmit, display, frame in another web page, perform, distribute, modify or create derivative works from the Content without our prior written approval. You do not acquire ownership rights to your Portal account or any Content by accessing or using the Portal.

11. Trademarks. We own our name, logo, and all of our other trademarks and trade names appearing on the Portal.

12. Linking. Any sites that are linked to from our Portal are not under our control, and you access them at your own risk. We do not assume any responsibility or liability for these linked sites or their contents. We provide all such links for your convenience only; they are not an endorsement or referral by us.

13. Interruptions and Errors. Your use of the Portal might be interrupted and will not be free of errors. The Portal may be unavailable from time to time due to routine maintenance, upgrades, hardware or software malfunctions, repairs, power outages, hackers, denial of service attacks, unforeseeably large service demands, or other reasons beyond our control.

14. Modifications. From time to time we may add new features to the Portal, suspend or discontinue existing features from the Portal, or otherwise modify the Portal, all without notice or liability.

15. Disclaimer. The Portal and the Content are provided “as is” and “as available” and without representations or warranties of any kind, express or implied. To the fullest extent permissible under applicable law, JFC disclaims all representations, conditions and warranties, whether express, implied or statutory (including any warranties of merchantability, fitness for a particular purpose, accuracy and non- infringement), except for any expressly set out in these Terms. JFC does not represent or warrant that functions contained in the Portal will be uninterrupted or error-free, that defects will be corrected, or that the Portal or the server that makes it available is free of viruses or other harmful components. You acknowledge that your access to and use of the Portal and the Content will not be free of interruptions, that the Portal and the Content may contain bugs, errors, inaccuracies or other limitations, and that the Portal may be unavailable from time to time. You assume total responsibility and risk for your access to and use of the Portal and the Content.

16. Limitation of Liability and Release. JFC and its officers, directors, employees, and representatives will not be liable to you or any other party for any damages of any kind, including indirect, special, consequential or incidental damages, or other damages arising directly or indirectly from your access to or use of (or your inability to access or use) the Portal or the Content. You release JFC and its officers, directors, employees and representatives, from all claims, actions, liabilities and damages of any kind relating to or arising from your access to and use of (or your inability to access and use) the Portal or the Content, whether based on contract, tort, negligence, strict liability or otherwise, even if we have been advised of the possibility of such damages. If, despite the limitations set out above, the JFC become liable to you in respect of the Portal, that liability will be limited to CAD $25.

17. Jurisdiction and Courts. These Terms, your access to and use of the Portal and the Content, and any claims made against JFC or its directors, officers, employees and representatives, arising out of such access or use or otherwise, will be governed by and construed and interpreted in accordance with Ontario laws. You agree that jurisdiction and venue in any legal proceeding directly or indirectly arising out of or relating to the Portal will be in the Ontario courts.

18. General. If any part of these Terms is unlawful, void or unenforceable, then that part is severable and will not affect the validity and enforceability of the remaining Terms. No delay or failure to act by JFC will impair any of JFC’s rights or remedies that are not expressly waived in writing. These Terms will enure to the benefit of and be binding upon the parties and their lawful successors and permitted assigns. JFC will not be liable for any delay or damage caused as a result of any event beyond its reasonable control.
